End User License Agreement:

DO PROCESS LP END USER AGREEMENT

1.           Program: The “Program” means the software program specified in the accompanying order form (the “Order Documentation”) or any other software provided to you by Do Process LP (“Do Process”) not covered expressly by a different agreement and includes the software and all accompanying data files and documentation, any updates to the Programs that may be provided from time to time by Do Process, and all copies of any of the foregoing.
 
2.           Grant: Subject to payment of the applicable fees and the limitations and restrictions set forth in this agreement, Do Process grants a non-exclusive licence to use the Program to the firm or individual by whom or on whose behalf this copy of the Program was licensed, being the named licensee in the Program (the licensee is identified, among other places, in the About dialog) (“Licensee”) for the term of this agreement. Licensee will not use or permit the Program to be installed on more than one computer unless each copy so installed is a licensed copy of the Program. In the case of the network version of the Program, Licensee will not permit the Program to be accessed by more than the maximum number of users or workstations licensed, as set out in the About dialog.
 
3.           Software Key: The Program is copy-protected. Upon installation, a validation or id number (“Key”), as obtained from Do Process, must be entered to activate various essential functions within the Program. This Key is valid only for the computer or disk drive for which it was originally provided. If the Program is to be transferred to another computer or disk drive, Do Process may require verification (either in writing or by way of de-installation code number generated by the Program) that the original copy has been deactivated.
 
4.           Ownership: Do Process licenses but does not sell the Program. Do Process retains title and all ownership rights (including all intellectual property rights) in and to the Program. This agreement in no way transfers any rights of ownership or license to the Program or any of the features or information in it, except as specifically stated. All bug reports, ideas for enhancement and other feedback provided by Licensee to Do Process will be the property of Do Process, and Licensee hereby assigns these items (including all intellectual property rights therein) to Do Process, and Do Process may use such information for any purpose it sees fit.  All rights not expressly granted are reserved to Do Process.
 
5.           Pay-Per-Use Fees: Additional fees may apply in order to initiate certain transactions (including searches and purchase, sale, and mortgage transactions) or to create certain records (including estate, will, or corporate records) using the Program (each a “Paid Use”). These additional fees are not included in the license fee paid for the license granted under this agreement and are the responsibility of Licensee. These additional fees are subject to change from time to time at the discretion of Do Process.
 
6.           Paid Use Restrictions: Licensee will only use each Paid Use transaction or record in relation to the single transaction or entity for which it was originally purchased.
 
7.           Third Party Terms:  Licensee acknowledges that Licensee may be required to agree to additional third party terms and conditions not set out in this agreement in order to take full advantage of certain features of the Program and certain services that may be facilitated by the Program.
 
8.           Term: This agreement is effective until terminated. Licensee may terminate this agreement at any time but this agreement will terminate immediately if Licensee fails to comply with any term or condition herein, or if Licensee gives notice to Do Process that Licensee wishes to terminate the purchase order during any evaluation period specified in the Order Documentation. Sections 4, 12, 13, 14 and 17A, and the obligation to pay transaction fees that were incurred prior to termination will survive termination of this agreement. Upon termination, Licensee will deliver to Do Process all copies of the Program and any provided storage media, and Licensee will discontinue use of the Program and will cause it to be deinstalled from all computers on which it had been installed.
 
9.           Support: If Licensee has purchased support or is otherwise entitled to support as set out in the Order Documentation, then during the support period:
 
(a)          Do Process will provide Licensee, during Do Process’ normal business hours, with a reasonable level of telephone hotline support and of online remote assistance support at no additional cost (excluding any third party connection charges), provided that Licensee has installed up to and including the most recently made available Program updates, such support is limited to troubleshooting and Program operation assistance and does not include customization, consulting, data conversion or correction, or other services, or assistance with problems not attributable to the Program, if in the course of providing such support Do Process is required to access, collect, use, disclose, dispose of or otherwise handle information of or about individuals that is subject to privacy laws, Do Process will only do so: (i) for the purpose of providing Program support; and (ii) in accordance with privacy laws; and
 
(b)         if Do Process, at its sole discretion, releases commercially available updates to the Program (excluding new full version releases of the Program), the updates will be made available to Licensee, in a manner determined by Do Process, at no additional cost (excluding any third party connection charges) and on the same terms herein (unless such other terms are provided to Licensee with the update).
 
10.        Event Information:  Licensee agrees that the Program may collect and send statistical information about the occurrence of certain events within the Program relating to Licensee’s use of the Program to Do Process (“Event Information”) and that Do Process may use this information for its internal business purposes, including for billing, to measure and understand the behaviour and preferences of our customers, to troubleshoot technical problems, to enforce this agreement, and to ensure proper functioning of the Program. Licensee warrants that Licensee will not interfere or attempt to interfere with the collection and transmission of such information.
 
11.        Backups: Provided that a notice of copyright ownership of Do Process is reproduced and included with any copy, Licensee may make archival copies of the Program for the sole purpose of backing up the Program to protect against damage to Program files, but Licensee may not otherwise reproduce, modify, transfer, store, transmit, sublicense, distribute, or sell the Program in any form or by any means and nor will Licensee decompile, disassemble or reverse engineer the Program or make any attempts in this regard.
 
12.        Program is Confidential Information and a Trade Secret: Licensee acknowledges that the Program is proprietary to, is the confidential information of, and a valuable trade secret of, Do Process and is entrusted to Licensee only for the purpose set forth in this agreement. Licensee will treat the Program in the strictest confidence and will not: (i) disclose or provide access to anyone other than Licensee's employees with a need for access to exercise the license rights conferred under this agreement; or (ii) reverse engineer, decompile or disassemble the Program or any portion of it.
 
13.        Warranty and Disclaimer: Do Process warrants that the Program will operate substantially in accordance with its documentation and Licensee’s sole remedy under this warranty is for Do Process to either (at Do Process’ sole discretion): (i) repair the Program to conform substantially in accordance with its documentation; or (ii) refund the Program’s license fee to Licensee.
 
EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND Do Process disclaims all other representations, warranties and conditions of any kind, whether express or implied, with respect to the Program, including any merchantability, merchantable quality, durability, fitness for a particular purpose and non-infringement. Do Process does not represent or warrant: that the Program will meet licensee’s requirements; that the operation of the Program will be uninterrupted and error-free; OR THE CORRECTNESS, ACCURACY, OR RELIABILITY OF ANY CONTENT OR OTHER INFORMATION PROVIDED THROUGH THE PROGRAM. EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, LICENSEE ASSUMES THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PROGRAM.
 
14.        Limitation of Liability: Do Process’s liability to Licensee with respect to this agreement and any other obligations related thereto will in all circumstances be limited to direct damages and will not, in the aggregate, exceed $500. In no event will Do Process be liable for indirect, consequential, exemplary, incidental, special, punitive, or aggravated damages, damages from loss of profits or revenues, failure to realize any expected savings, business interruption, loss of opportunity, or corruption or loss of data, or failure to transmit or receive any data, even if Do Process has been advised of the possibility of such damages in advance. The limitations on liability in this paragraph will apply irrespective of the nature of the cause of action, demand or claim, including breach of contract (including fundamental breach), negligence, tort or any other legal theory, and will survive a fundamental breach or breaches of this agreement or of any remedy contained herein. For greater certainty, in no event will Do Process be liable in respect of any third party claim.
 
15.        Amendments: Do Process reserves the right, at its sole discretion, from time to time, to modify, add, or delete portions of this agreement. Do Process will notify Licensee (either, at Do Process’ choice, by: (a) using the contact information provided to Do Process; or (b) electronic display during use of the Program) of any such revision and Licensee hereby agrees that continued use of the Program after such notice will constitute acceptance and agreement to be bound by the revised agreement.
 
16.        Governing Law: This agreement will be governed by and construed in accordance with the laws in effect in the Province of Ontario, without giving effect to any choice-of-law rules that may require the application of the laws of another jurisdiction.  Each of the parties irrevocably submits to the non-exclusive jurisdiction of the courts of Ontario for the purpose of any suit, action or other proceeding arising out of this Agreement or the subject matter hereof brought by either party or their successors or assigns.
 
17.        Supplemental Terms and Conditions:  These supplemental license terms add to or modify the terms and conditions set out above in this agreement for the specific programs, services or components identified below:
 
A.           Additional terms and conditions for use with the Transaction Data Exchange “TDX” Service 
 
(a)          Licensee represents and warrants that:
 
(i)           Licensee has the right and authority to use and disclose any information that Licensee transmits using TDX, including that the information is not subject to any confidentiality obligations and that any information of or about individuals is only accessed, collected, used, or disclosed by Licensee in accordance with applicable privacy laws;
 
(ii)          Licensee will not use TDX to create a database in electronic or other format or for the purposes of data aggregation or dissemination (otherwise than for Licensee’s internal archival use);
 
(iii)        Licensee will not use TDX for the purpose of marketing, or resale of the data and information or components thereof transmitted using TDX;
 
(iv)        Licensee will not tamper with TDX, including by translating, reverse engineering, decompiling, disassembling or modifying TDX or by merging TDX with any other system; and
 
(v)         Licensee will only use information Licensee receives from a client of Licensee through TDX with the consent of such client, and solely for the purpose of completing a transaction or record using the Program related to such client.
 
(b)        Licensee is responsible for any errors in information supplied: (i) by a client of Licensee through the TDX service; or (ii) by Licensee through the TDX service, and Licensee will defend, indemnify, and hold Do Process, its affiliates and related companies, and any of their respective directors, officers, employees, agents, and contractors harmless from and against all claims, liability, and expenses, including legal fees and costs, arising out of a claim by a third party relying on information supplied pursuant to (i) or (ii).
 
(c)          For certainty and without limiting Section 13, Do Process does not warrant the contents of any information transmitted using TDX, including its accuracy, completeness, or usefulness, nor does Do Process warrant that any information transmitted using TDX is actually received by any party or is accurately transmitted.
 
(d)          Licensee agrees that the receipt of information using TDX does not in any way limit, reduce or replace any obligation a Licensee may have to: (i) meet with, verify the identity of, or otherwise know their client, (ii) comply with any anti-money laundering, fraud prevention, or other similar laws, or (iii) comply with professional or ethical requirements with respect to their clients.
 
 
 
B.           Additional terms and conditions applicable to Teranet Connect Service
(a)          Licensee represents and warrants that  it will only use Teranet Connect and the Paid Use transaction records, information, reports and other content (“Content”) it receives therefrom for its own internal business purposes directly related to searches related to Ontario real estate transactions, including without limitation, disposition or acquisition of real estate in Ontario, and/or the preparation of any documents in connection with such a disposition, acquisition or transaction, and for no other purpose whatsoever.
(b)          Licensee must accept and abide by the Teranet Connect terms and conditions and complete certain forms required by the third party providing Teranet Connect, being Teranet, and Licensee shall not be permitted to access Teranet Connect until same is completed.  If there is a conflict between this agreement and any applicable Teranet Connect user terms, the Teranet Connect user terms shall take precedence in relation to the Teranet Connect services.
(c)           For certainty and without limiting Section 13, Do Process does not warrant the contents of any information transmitted using Teranet Connect, including its accuracy, completeness, or usefulness, nor does Do Process warrant that any information transmitted using Teranet Connect is actually received by any party or is accurately transmitted.Provision of Teranet Connect or any of the databases and/or Content accessible via Teranet Connect may not be available under all circumstances or at all times and may be discontinued at anytime.
 (d)         Further to and without limiting Section 5, for Teranet Connect transactions, Licensee will be responsible for paying the charges for the Content accessed through Teranet Connect directly to Teranet as set out in the Teranet Connect terms and conditions. 
(e)          Do Process may disclose Event Information and personal information of the Licensee to Teranet for the purposes set out in Section 10 as well as for those purposes as applicable specifically to Teranet Connect and the Teranet Connect terms and conditions. Teranet may also disclose such information to the Province of Ontario, its ministries or agencies, for the purposes of Ministry or agency use, and to the Province of Ontario, its ministries or agencies and to any law enforcement authority or regulator having jurisdiction, or the Law Society of Upper Canada, in connection with any investigation by any of them relating to the Licensee’s use of Teranet Connect.
 (f)          Licensee acknowledges and agrees that the Content contains data from POLARIS, which data is the property of the Province of Ontario and Licensee does not acquire any right hereunder to modify or change said data in any way and all intellectual property rights in or to the content are and shall remain the sole and exclusive property of the Province of Ontario, Teranet or the applicable lawful third party owners.  
(g)          Licensee acknowledges that the Province of Ontario shall not be liable in any manner to Licensee for any loss of revenue or profit or savings, lost or damaged data, or other commercial or economic loss or any direct or indirect or incidental, special or consequential damages whatsoever even if the Province of Ontario has been advised of the possibility of such damages, or for claims of any nature by a third party. This Section shall apply whether or not the liability results from a breach of a fundamental term or condition or a fundamental breach. It is acknowledged that this Section is included for the benefit of and can be relied on by the Province of Ontario.
(g)          Licensee shall comply with all applicable laws and regulations relating to Teranet Connect and, the databases and content access via Teranet Connect, including, without limitation, any laws relating to privacy, export or the use of POLARIS data as information obtained from the public and collected by the Province of Ontario and Teranet through its operation of the land registration system in the Province of Ontario.  
C.            Additional Terms and Conditions for Use During the Evaluation Period
 
The Evaluation Period is considered the first 30 days from the installation date of the software.  
 
(a)          During the Evaluation Period, a licensed version of the software will be made available to the Licensee.
 
(b)         The Licensee is required to add transaction credits to the software in order to create files.  
 
(i)   If the Licensee has chosen a credit card payment option, Licensee will be charged for transaction credits at the time of ordering credits.
 
(ii)  If the Licensee has chose a cheque payment option, Licensee will, at the end of the Evaluation Period, be sent an invoice for any credits ordered during the Evaluation Period.
 
(c)          At any point up to and including the end date of the Evaluation Period, the Licensee can cancel their agreement by sending a cancellation request, in writing, to inquiries@doprocess.com.
 
(d)         On receipt of a cancellation notice, Do Process  agrees to reimburse any prepaid and unused licensing fees and transaction credits fees incurred during the Evaluation Period.
 
(e)          The software license shall be deemed to have been accepted by the Licensee on the first day after the Evaluation Period end date, at which point the Licensee shall be billed for any/all licensing and transaction credits fees incurred and not paid for during the Evaluation Period.

END USER LICENSE AGREEMENT - BRIEF CONVEY(TM):

This End User License Agreement ("EULA") is entered into between Do Process LP, by its general partner Teranet Holdings G.P. Ltd. ("Do Process"), a branch office of a corporation which operates worldwide, with its Canadian Head Office located at 123 Front Street West, Suite 700, Toronto, Ontario, M5J 2M2 and you ("Licensee").

WHEREAS, Do Process is the owner of a real estate conveyancing software program, including any future upgrades and modifications, and associated template documents entitled Brief Convey(TM) and related documentation (collectively, the "Program");

WHEREAS, the Licensee desires to license the Program;

AND WHEREAS, Do Process will only license the Program to the Licensee provided Licensee agrees to all the terms and conditions contained within this EULA;

NOW THEREFORE, for mutual consideration, the receipt and sufficiency of which is hereby acknowledged, Do Process and Licensee agree as follows:

NOTICE: BY DOWNLOADING, INSTALLING, OR OTHERWISE USING THE PROGRAM, YOU AS LICENSEE AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, YOU MAY NOT DOWNLOAD, INSTALL, OR USE THE PROGRAM. LICENSEE SHALL BE LIABLE FOR ANY FAILURE BY LICENSEE'S EMPLOYEES, CLERKS AND THIRD PARTY CONTRACTORS TO COMPLY WITH THE TERMS OF THIS EULA. IF YOU ARE ACCEPTING THIS EULA ON BEHALF OF A PARTNERSHIP, ASSOCIATION, LAW FIRM, OR CORPORATION YOU REPRESENT THAT YOU ARE AUTHORIZED TO DO SO.

GRANT OF LICENSE: Do Process grants to Licensee a limited, non exclusive, non transferable, non assignable, non sublicensable, revocable license to download, install, and use the Program for Licensee's internal business purposes of real estate conveyancing. The Program is licensed, not sold, for use only upon the terms and conditions of this EULA.

FEES: Licensee agrees to pay the fees set out in the pricing schedule attached hereto as Schedule "A" which is deemed to form part of this EULA and, as set out in Schedule "A", may be amended from time to time upon thirty (30) days written notice to Licensee.

UPDATES: As part of this license, Licensee shall be entitled to receive at no charge, all update(s) of the Program that Do Process makes generally available to all licensees; provided, however, that Do Process is not obligated in any manner to update the Program. All update(s) shall be considered part of the Program and subject to the terms and conditions of this EULA. Additional license terms may accompany the update(s). By downloading, installing, or otherwise using any update(s), Licensee agrees to be bound by the terms accompanying such update(s). If Licensee does not agree to the additional license terms accompanying such update(s), Licensee should not download, install, or otherwise use such update(s). Licensee acknowledges that any obligation Do Process may have to support previous versions of the Program may be ended upon the availability of an update.

RESTRICTIONS ON USE: This is a license, not a transfer of title, to the Program and any related documentation, and Do Process retains ownership of all copies of the Program and any related documentation. Licensee acknowledges that the Program and related documentation are copyrighted and that the Program and related documentation contain trade secrets and/or confidential information of Do Process or its suppliers or licensors, including but not limited to the software code, interface design, process flows, the specific internal design and structure of the Program and associated interface information. Except as otherwise expressly provided under this EULA, Licensee shall have no right to, and Licensee specifically agrees not to:

(i) transfer, assign or sublicense its license rights to any other person or entity (other than with the express written consent of Do Process), or use the Program on unauthorized computers, and Licensee acknowledges that any attempted transfer, assignment, sublicense or use shall be void;

(ii) make error corrections to or otherwise modify or adapt the Program or create derivative works based upon the Program, or permit third parties to do the same;

(iii) reproduce, reprogram, reverse engineer, view the source code, attempt to discover the source code, decompile, decrypt, disassemble or otherwise reduce the Program to human-readable form;

(iv) use or permit the Program to be used by third parties, without the express written authorization of Do Process;

(v) disclose, provide, or otherwise make available trade secrets and/or confidential information contained within the Program and related documentation in any form to any third party;

(vi) reproduce, recreate, adapt or reuse in any other format (other than through the Program) template documents contained within the Program;

(vii) use the Program for the benefit of any competitor of Do Process, in competition with Do Process, or for the purpose of assisting in the creation of a software product with a similar purpose;

(viii) modify, alter, or delete any of the copyright, trademark, or other proprietary notices embedded in or affixed to the Program or related documentation;

(ix) without the express written consent of Do Process, export any data from the Program which was entered or may be entered into the Program by Do Process or on behalf of Do Process into any other software program (other than the title search information for the purpose of pre-populating forms/documents and registering documents). "Data" shall include information that is contained within the Program at the date this License is executed and any data added to the Program, regardless of the source of the information, after the date that this License is executed. "Data" shall not include information related to Licensee's clients that belongs to Licensee or Licensee's client; or

(x) permit any third party to do any of the foregoing items i through ix.

INTELLECTUAL PROPERTY RIGHTS: Do Process reserves all rights not expressly granted to the Licensee in this EULA. The Program is protected by copyright and other intellectual property laws and treaties. Do Process owns the title, copyright, and other intellectual property rights in the Program (other than third party rights licensed by Do Process or any predecessor owner of the Program) and any related documentation, both under Canadian and international law, of every kind and character whatsoever (including intellectual property rights arising from any customization of the Program for the Licensee), whether or not such rights are now existing or come into existence hereafter, and whether or not such rights are now known, recognized or contemplated. Specifically, but not limited to, Do Process claims copyright to all template documents (excluding government forms, lender documents and standardized closing documents). Licensee acknowledges and agrees that Do Process has no obligation to amend or customize the Program at the request of Licensee, but should Do Process do so, that any customization features of the Program created at the request of the Licensee are also owned exclusively by Do Process and that Do Process may provide such customization features to other Licensees, at Do Process's sole discretion.

NOTIFICATION OF VIOLATIONS: Licensee shall notify Do Process promptly of any violations of this EULA or Do Process's intellectual property rights. Licensee shall reasonably assist as necessary to remedy any such violation.

TRADEMARKED NAMES: Licensee acknowledges that, without the express written consent of Do Process, Licensee does not have the right to use trademarked names owned by Do Process, including, but not limited to, the term Brief Convey(TM) and Do Process, and Do Process LP..

CONSENT TO USE OF DATA. Licensee agrees that Do Process may collect and use technical information gathered as part of the technical support services provided to Licensee, if any, related to the Program. Do Process may use this information solely to improve the Program and will not disclose this information in a form that personally identifies the Licensee.

COMPUTER HARDWARE AND OPERATING SYSTEMS: Do Process does not warrant the compatibility of the Program with any past, current, or future computer hardware or operating systems. Provided, however, that Do Process's technical support team shall make reasonable efforts (by phone) to assist Licensee in determining if Licensee's operating system and computer hardware will allow the Program to function properly.

CUSTOMER SERVICE AND TECHNICAL SUPPORT: Do Process shall provide customer service and technical support to Licensee regarding installation and use of the Program at no charge by phone, email and/or remote technical support. Do Process shall use commercially reasonable efforts to provide customer service and technical support from Monday to Friday (excluding statutory holidays) during the hours of 8:00am to 6:00pm Mountain Standard Time.

REMOTE INSTALLATION AND REMOTE TECHNICAL SUPPORT: Licensee may request and Do Process may provide, at its sole discretion, the service of installing or providing technical support for the Program using a remote access program that allows Do Process to assume control over Licensee's computer in order to remotely install or remotely provide technical support for the Program.

Licensee acknowledges that remote installation and remote technical support involves Do Process or its employees or contractors having access to all programs and data contained on Licensee's computer (except password protected programs and data) and that Do Process or its employees or contractors may modify the configuration of Licensee's computer, install programs, or otherwise do anything that Licensee could do with its computer's operating system or software.

Do Process shall not provide remote installation or remote technical support without the consent of the Licensee and Do Process shall seek permission from the Licensee prior to making any changes to Licensee's computer system. Further, Do Process agrees that the privacy provisions contained within this Agreement will apply to any personal information that Do Process may be exposed to during the course of providing remote installation and remote technical support.

Should Licensee want to terminate Do Process's ability to remotely access its computer(s), Licensee shall provide notice in writing to Do Process to the person set out in the Notice section of this EULA.

LEGAL ADVICE: NOTHING CONTAINED IN THE PROGRAM AND ANY RELATED DOCUMENTATION IS INTENDED TO BE CONSIDERED AS LEGAL ADVICE AND, IN ADDITION TO THE DISCLAIMERS SET OUT ABOVE, Do Process EXPRESSLY DISCLAIMS ANY LIABILITY FOR THE LEGAL ACCURACY OF THE FUNCTIONALITY OF THE PROGRAM AND/OR THE TEMPLATES, DATABASES, AND DOCUMENTATION CONTAINED THEREIN. LICENSEE AGREES THAT LICENSEE IS NOT RELYING ON Do Process FOR ANY INFORMATION OR ADVICE REQUIRED TO CLOSE REAL ESTATE TRANSACTIONS.

THIRD PARTY WEBSITE ACCESS & THIRD PARTY FUNCTIONALITY: The Program may allow Licensee to access third party websites ("Third Party Sites") and to utilize documentation and functionality as prepared by third parties ("Third Party Functionality"). Licensee's access to and use of any Third Party Sites, including any fees chargeable, goods, services or information made available from such sites, is governed by the terms and conditions found at the Third Party Sites or any agreement entered into between Licensee and a third party, if any. Third Party Sites are not owned or operated by Do Process. Do Process is providing these links and access to Third Party Sites and Third Party Functionality to Licensee only as a convenience. Licensee's use of the Third Party Sites and Third Party Functionality is at Licensee's own risk. Do Process makes no warranties, conditions, indemnities, representations or terms, express or implied, whether by statute, common law, custom, usage or otherwise as to any other matters, including but not limited to non-infringement of third party rights, title integration, accuracy, security, availability, satisfactory quality, merchantability or fitness for any particular purpose with respect to the Third Party Sites and Third Party Functionality.

PRIVACY LAW COMPLIANCE:

Do Process is governed by the Personal Information Protection and Electronic Documents Act, 2000. c. 5 ("PIPEDA") and in the province of British Columbia by the Personal Information Protection Act, SBC 2003, CHAPTER 63 ("PIPA BC") and in Alberta by the Personal Information Protection Act, S.A. 2003, c. P-6.5 ("PIPA AB"), as they may be amended. Do Process shall comply with all requirements of PIPEDA, PIPA BC, or PIPA AB (depending on in which province Licensee is located) and confirms that it has a privacy policy in place and that appropriate safeguards are in place to protect against unauthorized use, collection, or disclosure of personal information. 

Do Process and Licensee shall maintain privacy standards that comply with all PIPEDA, PIPA BC, or PIPA AB (whichever is applicable) requirements. Do Process and Licensee shall comply with all applicable privacy laws.

Licensee acknowledges that data input by Licensee into the Program will be stored on Do Process's servers. Do Process warrants that all data input by Licensee, including personal information, that is stored on Do Process's servers will be kept confidential and will be used only for the purposes for which it was provided and shall not be disclosed to any unauthorized party. Further, Do Process warrants that it has implemented commercially reasonable security measures to protect its servers from unauthorized access.

Do Process will limit the number of employees or contractors that have access to its servers and shall ensure that such employees or contractors are aware of the obligation to preserve, safeguard and protect any personal information, if any, that may have been disclosed to them.

In the event that Do Process retains the services of a third party to provide technical support or other services on behalf of Do Process, then Do Process shall ensure that the third party agrees to maintain privacy standards that comply with all PIPEDA, PIPA BC, or PIPA AB (whichever is applicable) requirements.

TERMINATION: Do Process may terminate this EULA immediately upon written notice to Licensee in the event:

A) that Licensee fails to comply with the terms and conditions of this EULA;

B) that Licensee does not to agree to an amendment to this EULA as required by Do Process;

C) that Do Process is required by law or order to terminate this EULA;

D) in the event that Licensee is a lawyer or notary (BC), Licensee is suspended, disbarred or otherwise ceases to be qualified to practice in the province in which real estate transactions are being conducted using the Program;

E) in the event that Licensee is a law clerk, legal assistant, conveyancer, or paralegal or otherwise, Licensee ceases to provide services to a lawyer/notary (BC) qualified to practice in Alberta or British Columbia, or if Licensee is suspended or disqualified from working as a law clerk, legal assistant, conveyancer, or paralegal in the Province in Alberta or British Columbia;

F) in Do Process's sole discretion, Licensee's use of the Program has facilitated, either knowingly or unknowingly, the commission of real estate fraud; or

G) Do Process, in its sole discretion, deems it necessary to terminate. In this event, Licensee shall be given 30 days prior written notice.

In the event of termination by Do Process under this provision, Licensee shall cease using the Program as of the date of termination and Do Process shall have the authority to deactivate access to the program by Licensee.

Upon termination of this EULA, Licensee shall immediately discontinue all use of or access to the Program, erase all copies from its computer systems, and return to Do Process or destroy any physical copies, including backup copies, of the Program.

Licensee may terminate use of the Program at any time by written notice to Do Process at the address set out in the notice section below. 
Regardless of which party terminates this EULA, Licensee agrees to pay any outstanding fees due and payable to Do Process within ten business days of the date of termination.

DISCLAIMER OF WARRANTY: THE PROGRAM IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND. ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, ACCURACY OF INFORMATIONAL CONTENT, INCLUDING ACCURACY OR CURRENCY OF REAL ESTATE CONVEYANCING TEMPLATE DOCUMENTS, INCLUDING LENDER FORMS AND DOCUMENTS, AND SHARED AND IMPORTED DATABASE INFORMATION, OR ARISING FROM A COURSE OF DEALING, LAW, USAGE, OR TRADE PRACTICE, ARE HEREBY EXCLUDED TO THE EXTENT ALLOWED BY APPLICABLE LAW AND ARE EXPRESSLY DISCLAIMED BY Do Process. Do Process RESERVES THE RIGHT TO MAKE CHANGES, ADDITIONS, OR DELETIONS TO THE PROGRAM AT ANY TIME WITHOUT NOTICE TO THE LICENSEE.

LICENSEE ACKNOWLEDGES AND AGREES THAT TO THE EXTENT THE PROGRAM IS USED IN CONNECTION WITH THE INTERNET, Do Process SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGE OR LOSS INCURRED BY OR CLAIMS MADE AGAINST LICENSEE BASED ON THE USE OF THE PROGRAM IN CONNECTION WITH THE INTERNET OR ANY CONTENT TRANSMITTED OVER THE INTERNET USING THE PROGRAM.

Do Process DOES NOT REPRESENT OR WARRANT THAT THE PROGRAM:

(A) WILL BE UNINTERRUPTED OR ERROR-FREE; (B) WILL BE FREE OF INACCURACIES OR ERRORS; (C) WILL MEET LICENSEE'S REQUIREMENTS; (D) WILL OPERATE IN THE CONFIGURATION OR WITH THE HARDWARE OR OTHER SOFTWARE LICENSEE MAY SELECT.

FORCE MAJEURE: Do Process shall not be responsible for Licensee's inability to use the Program due to causes beyond its control. This includes, but is not limited to, strikes, work stoppages, civil disobedience, riots, acts of God and similar occurrences, fire, shortage of materials or supplies, power outages, and government actions.

DISCLAIMER OF LIABILITIES: In no event will Do Process be liable for any lost revenue, profit, or lost or damaged data, business interruption, delayed or failed real estate closings, loss of capital, or for special, indirect, consequential, incidental, economic or punitive damages however caused and regardless of the theory of liability or whether arising out of the use of or inability to use the Program, installation (remote or otherwise) and technical support (remote or otherwise), or otherwise and even if Do Process has been advised of the possibility of such damages. In no event shall Do Process's liability to Licensee, whether in contract, tort (including negligence), breach of warranty, or otherwise, exceed the greater of the fee(s) paid by the Licensee for the Program pursuant to Schedule "A" or $10.

If any of the use of the Program involves the use of username(s) and/or password(s), Licensee is responsible to keep such username(s) and/or password(s) confidential and Do Process shall have no liability for unauthorized use of the username(s) and/or password(s). Licensee shall notify Do Process immediately upon obtaining information of actual or potential unauthorized use. Licensee shall notify Do Process immediately if any person who has a username and password ceases to be an employee, partner, or associate of Licensee.

Further nothing in this EULA is intended to be construed as a warranty as to the quality, timeliness, or completeness of service by Do Process or any third party retained by Do Process with respect to technical support services or installation services.

REPRESENTATIONS; INDEMNIFICATION: Licensee represents and warrants that it has the adequate legal capacity to enter into this EULA, that it will use the Program only for lawful purposes and in accordance with this EULA and that it will not use the Program to violate any law, regulation or ordinance or any right of Do Process or its licensors or any third party, including, without limitation, any right of privacy, publicity, copyright or trademark. Licensee agrees that the Program will not be shipped, transferred or exported into any country or used in any manner prohibited by any relevant export laws and regulations of the Canada and the country in which they are located (if Licensee is not located in the Canada). Licensee agrees to indemnify, defend and hold Do Process, its licensors, officers, agents, employees and directors harmless for any all costs, liabilities, losses, and expenses (including reasonable legal fees) incurred as a result of any claim, suit, action, or proceedings brought by any third party against Do Process or its assignees or affiliates arising from any breach by Licensee of any representation, warranty or obligation contained in this EULA.

INJUNCTIVE RELIEF: Licensee acknowledges and agrees that, notwithstanding any other provisions of this EULA, its breach or threatened breach of this EULA shall cause Do Process irreparable damage for which recovery of money damages would be inadequate and that Do Process therefore may obtain timely injunctive relief to protect its rights under this EULA in addition to any and all other remedies available at law or in equity.

GENERAL AGREEMENT PROVISIONS:

This EULA shall be governed and construed in accordance with the laws of the Province of either Alberta or British Columbia, depending on the location of the Licensee's practice.

Licensee represents that it has not entered into any other agreement that will prevent its full compliance with the terms of this EULA.

If any provision of this EULA, its application or enforcement is restricted, prohibited or unenforceable, such provision shall be ineffective only to the extent of such restriction, prohibition or unenforceability without invalidating the remaining provisions or affecting the validity or enforceability of the remaining terms of this EULA.

Do Process's failure to insist upon or enforce strict performance of any provision of this EULA shall not be construed as a waiver of any provision or right.

All provisions of this EULA that are expressly or by implication intended to survive termination of this EULA will survive termination.

NOTICE: Notice to Do Process may be provided in writing by the following means:

AUTHORITY: Licensee hereby acknowledges that its employees, clerks, third party contractors and other authorized representatives and/or authorized users of the Program have read this EULA in its entirety with full knowledge and appreciation of its contents and have agreed to be bound by this EULA. In the event that the Licensee is a law firm, the party accepting this EULA confirms that he/she has the authority to bind the law firm.

Do Process shall not be liable for any unauthorized used of the Program by any person or entity where such person or entity was provided access to the Program by the Licensee or by any of Licensee's employees, partners, associates, clerks or third party contractors .

Unless Licensee informs Do Process in writing to the contrary, the individual who first initiated the set up of the Program for the Licensee or Licensee's law firm shall be the administrator for the Program (the "Administrator"). The Administrator shall have the authority to perform the following functions for the Licensee:
- disable lawyer/notary (BC) accounts and non lawyer/notary(BC) accounts; 
- change passwords for accounts;
- assign additional administrators or remove administrative privileges;
- add or remove users from lawyer/notary (BC) groups and define permissions within groups;
- add non lawyer/notary(BC) user accounts on behalf of the Licensee; 
- request the addition of new lawyer/notary (BC) users. (Provided that all lawyers/notaries(BC) must complete the usual set up process.);
- access all Licensee's transactions files; and
- perform other administrative functions as may be from time to time be provided by Do Process.

Licensee consents to the Administrator performing the above functions.

ASSIGNMENT: Do Process may assign this EULA, along with any or all of its rights and/or obligations thereunder, to any person or entity provided such person or entity agrees in writing to be bound by the terms of this EULA as if it were a party hereto (in which case, upon the date of the assignment, Do Process will be released from its obligations hereunder). This EULA shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Licensee may not assign this EULA.

ENTIRE AGREEMENT: This EULA, including Schedule "A", constitutes the entire agreement of the parties with respect to the Program and supersedes any or all prior agreements, representations, proposals, discussions and communications, whether oral or in writing. For greater clarity, nothing in this EULA supersedes or modifies the terms and conditions of any agreement respecting title insurance that may have been entered into by Licensee or Licensee's law firm. This EULA may not be modified except by Do Process in accordance with this EULA. Do Process reserves the right to amend the terms and provisions of this EULA (excluding the fees, which amendment shall be governed by the terms of Schedule "A") at any time and in its sole discretion. Do Process shall provide Licensee with notice of any such amendments through the Program. Use of the Program after the effective date of the amendments, will constitute Licensee's consent to the amendments.

HEADINGS: Headings to any of the provisions of the EULA are for convenience only and shall not have the effect of modifying, amending, or altering any provision of the EULA.

SCHEDULE "A" 
TO END USER LICENSE AGREEMENT - Brief Convey(TM)

This Schedule forms part of the End Use License Agreement - Brief Convey(TM) to which you have entered into with Do Process LP ("Do Process").

FEES
Licensee agrees to pay to Do Process in Canadian funds the "Pay Per Use" fees calculated as follows:

"Use" of the Program is defined on a per matter basis. Each new matter that is opened by the Licensee will constitute a single Use.

Pay Per Use Fees are: 
- Program Use to Represent the Purchaser $14.00
- Program Use to Represent the Vendor $8.00
- Program Use to Refinance a Mortgage $12.00

All fees are stated exclusive of any applicable goods and services, provincial and local sales or other similar taxes. Licensee shall pay all applicable taxes.

The "Pay Per Use" fee is payable regardless of whether the associated real estate transaction (i.e. matter) closes.

TERMS OF PAYMENT
Stewart Title Guarantee Company, on behalf of Do Process will send to Licensee on a monthly basis an invoice detailing all real estate transactions (i.e. matters) for the preceding month and the balance due on account of the Pay Per Use Fees, plus applicable taxes.

Invoices are due upon receipt. Errors and omission excepted.

Interest accrues on balances over 30 days at a rate of 1.5% per month, 18% per annum.

Pay Per Use Fees are subject to change upon 30 days written notice provided to you by Do Process. Further, Do Process may add functionality in the future to which additional charges may apply. You will be advised by Do Process in the event that such functionality becomes available.

The fees referenced herein do not include fees for additional services that may be made available through the Program, whether by Do Process or a third party, including but not limited to title insurance premiums and services fees for connecting to Third Party Sites or integrations. Such fees and services are governed by their own terms and conditions.

DISPUTED AMOUNTS
Licensee must dispute an invoice within 10 business days of receipt otherwise Licensee shall be deemed to have accepted the amount of the invoice. In the event that Licensee disputes the amount of an invoice, Licensee shall pay any undisputed amounts according to the terms of set out above. For any disputed amount, Do Process and Licensee shall use commercial reasonable efforts to resolve in good faith the disputed amount within 10 business days, or such longer time as mutually agreed, of Do Process being advised in written of the disputed amount and the basis for the dispute. Should Do Process and Licensee be unable to resolve the disputed amount within 10 business days, or such longer time as mutually agreed, Do Process and Licensee agree to retain the services of a mediator to resolve the dispute. Such cost of mediation to be shared equally between Do Process and Licensee.

REFUNDS/ADJUSTMENTS
Do Process shall not be required to refund any amount paid to it by the Licensee unless the amount paid was not invoiced by Do Process or was a proven duplicate payment. In all cases, no refund or adjustment will be issued later than 60 days from the date of receipt of the payment by Do Process. Do Process reserves the right, at its sole discretion, to choose to apply refunds as adjustments to the next monthly statement.

ADDITIONAL TERMS AND CONDITIONS FOR USE DURING THE EVALUATION PERIOD
The Evaluation Period is considered the first 30 days from the installation date of the software.

(a) During the Evaluation Period, a licensed version of the software will be made available to the client.
(b) The client is required to add transaction credits to the software in order to create files. Client will, at the end of the Evaluation Period, be sent an invoice for any credits ordered during the Evaluation Period.
(c) At any point up to and including the end date of the Evaluation Period, the client can cancel their agreement by sending a cancellation request, in writing, to briefconvey@doprocess.com .
(d) On receipt of a cancellation notice, Licensor agrees to reimburse any licensing fees and transaction credits fees incurred during the Evaluation Period.
(e) The software license shall be deemed to have been accepted by the client on the first day after the Evaluation Period end date, at which point the client shall be billed for any/all licensing and transaction credits fees incurred and not paid for during the Evaluation Period.
